日本富士軟片控股（Fujifilm Holdings）周三宣布取得美國影印機巨擘全錄（Xerox）的多數股權，象徵這家百年大廠的獨立時代終結。
市值83億美元的全錄將與合資公司富士全錄（Fuji Xerox）合併，富士軟片將取得新事業50.1％的股權。依據協議，富士軟片將給予全錄現有股東25億美元現金股利，約每股9.8美元。
本交易將分3階段進行，讓富士軟片保有現金以實現收購效益。富士全錄先以61億美元價格向富士軟片買回75％的股權，富士軟片透過出售合資事業75％股權，取得全錄50.1％的新股，最後富士全錄再與全錄合併。
全錄執行長賈伯遜（Jeff Jacobson）透過聲明稿表示，「合併將讓公司處於更有利的位置，憑藉著全球規模在今日的市場環境裡保持競爭力。」賈伯遜將出任合併後的富士全錄執行長。
富士軟片與全錄的合資關係可追溯至1960年代，合資事業貢獻富士軟片2.3兆日圓（約210億美元）年營收將近半數。
《華爾街日報》報導，全錄的股票將持續在紐約證交所交易，品牌也將存續，但本交易代表這家美國百年老店的隕落，全錄不敵產業環境快速轉變，面臨營收萎縮難題。
富士軟片表示將裁撤富士全錄1萬個職務，約占後者總人力的22％，凸險市場環境艱難。
分析師質疑富士軟片取得全錄業務的效益，過去3年來全錄的年營收下滑15％，降至100億美元。本交易也與富士軟片跨足製藥和化妝品等新領域，以抵擋軟片銷售衰退的策略背道而馳。
一位匿名的富士軟片分析師表示：「這是一項非成長業務，富士軟片已持有合資事業75％的股權，沒有道理再買下全錄。富士軟片應該聚焦成長領域，或是將資本回饋給股東。」
